By commissioning services from Innovayse or subscribing to our SaaS platforms (including SmartLearn and PropSystem), you agree to comply with these professional terms. These rules ensure a secure and efficient environment for all our clients.

These terms constitute a legally binding agreement between you (the Client) and Innovayse Digital Agency regarding all development, marketing, and software hosting services.

Innovayse delivers high-end web development, mobile applications, technical SEO, and white-label SaaS solutions. We commit to industry standards and best practices in every line of code we write.

Service specifications, including technical stacks and delivery milestones, are defined in the Project Roadmap/Service Level Agreement (SLA) provided during the onboarding phase.

We reserve the right to upgrade our SaaS platforms and agency workflows to incorporate new technologies without direct notice, provided such changes do not diminish core functionality.

Access to our SaaS products and client management portals (WHMCS) requires authentic and verified credentials. You are responsible for maintaining the confidentiality of your administrative access.

Any suspicious activity or unauthorized access must be reported to our support team immediately to prevent potential data breaches or service interruption.

For custom development: Upon full payment of the project balance, the copyright and intellectual property of the final deliverable (source code/design) are transferred to the Client.

Innovayse retains the right to use non-sensitive visual elements of the project for its professional portfolio and case studies, unless a Non-Disclosure Agreement (NDA) specifies otherwise.

For SaaS products: Our platforms are provided under a 'License to Use' model. You may not decompile, reverse engineer, or redistribute our proprietary software code.

Custom Projects: A 50% commitment fee is usually required to initiate development. Subsequent payments are tied to verified project milestones.

Hosting & SaaS: Subscriptions are billed on a recurring basis (monthly/yearly). Failure to renew may result in temporary service suspension within 7 days of the due date.

Taxes: Prices listed on our website are exclusive of applicable taxes unless stated otherwise. All financial transactions are processed through secure, encrypted gateways.

Termination by Client: You may terminate an ongoing project at any stage; however, previously paid milestone amounts are non-refundable as they cover completed labor.

Termination by Innovayse: We reserve the right to suspend services in cases of non-payment, violation of ethical guidelines, or use of our platforms for illegal activities.

Innovayse strives for 99.9% uptime and bug-free releases. However, we are not liable for business losses resulting from third-party API failures, server migrations by external providers, or unapproved client modifications to the source code.

Our maximum liability for any project is limited to 100% of the fees specifically paid for that component of the service.

We may refine these terms periodically to align with evolving digital laws and our agency's expansion. Continued use of our services after updates signifies your acceptance.

Any major shifts in our legal framework will be highlighted in the Client Area of our website.
